Terms of Service

1. Acceptance of Terms

By accessing or using Parentalist ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Parentalist. We may modify these Terms at any time. Changes are governed by Section 14 (Changes to Terms).

Your use of the Service is also subject to our Privacy Policy at https://parentalist.app/privacy, which is incorporated into these Terms by reference.

2. Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that:

• You are 18 years of age or older
• You are a parent or legal guardian with authority to provide information about children
• You have the legal capacity to enter into these Terms
• Your use of the Service will not violate any applicable law or regulation

The Service is for parents and legal guardians only. Accounts may only be created and used by adults 18 years of age or older. Parents and legal guardians may provide information about their children (such as children's profiles used for task matching). Children under 18 are not permitted to create accounts or use the Service. Children under 13 are strictly prohibited from directly accessing, logging into, or interacting with the Service. For details on how we handle children's information under COPPA, see Section 8 of our Privacy Policy.

3. Description of Service

Parentalist is a web-based parenting task list that helps parents:

• Connect their Gmail account to analyze emails
• Generate actionable parenting tasks from email content using Google's Gemini API
• Manage parent-provided children's profiles and task lists
• Collaborate with family members in shared workspaces
• Track task completion and due dates

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. User Accounts and Registration

To use the Service, you must register for an account using Google OAuth authentication. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities under your account.

5. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Transmit any viruses, malware, or other harmful code
• Use automated systems (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Collect or harvest information about other users
• Use the Service to send spam or unsolicited messages

Violation of these terms may result in immediate termination of your account and legal action.

6. AI Analysis and Service Disclaimers

AI-Generated Content: The Service uses Google's Gemini API to analyze emails and generate tasks. You acknowledge and agree that:

• AI-generated tasks may contain errors, inaccuracies, or may not accurately reflect the content of emails
• Task generation is automated and may produce unexpected or incorrect results
• You are responsible for reviewing and verifying all generated tasks before relying on them
• We do not guarantee the accuracy, completeness, or usefulness of AI-generated tasks
• AI analysis may miss important information or create duplicate tasks

Deadlines and reliance: The Service is a convenience tool only and is not a substitute for reading school, activity, or other communications. Parentalist does not guarantee that every relevant message will become a task, or that due dates or content will be complete or correct. You are solely responsible for complying with all deadlines, payments, forms, pickups, and other obligations, whether or not they are reflected in the Service. You agree not to rely on the Service as the sole source of truth for time-sensitive obligations.

Service Availability: The Service is provided "as is" and "as available." We do not guarantee that:

• The Service will be available at all times or without interruption
• The Service will be error-free or free from defects
• Any defects will be corrected
• The Service will meet your specific requirements

We may perform scheduled or unscheduled maintenance that may result in temporary unavailability of the Service. We are not liable for any loss or damage resulting from Service unavailability.

7. Family Workspace Features

The Service allows you to create or join family workspaces where multiple users can collaborate:

• Family Owners: Can manage family membership, invite members, and have full access to manage children's profiles
• Family Members: Can view and manage tasks but have read-only access to children's profiles
• Shared Data: All information added to a family workspace (children's profiles, tasks) is visible to all family members
• Invitations: Family owners can generate invitation links. By accepting an invitation, you agree to share workspace data with other members

If you invite someone to a family workspace, you represent and warrant that you have authority to share children's profiles and other workspace data with that person. You may invite only people who have a legitimate parenting, guardianship, or caregiving relationship to the children whose data is shared, or another relationship the family has agreed authorizes that access.

You are responsible for ensuring that all family members are authorized to access the information shared in your family workspace. We are not responsible for the actions of other family workspace members. Parentalist has no obligation to mediate or police family or co-parent disputes, to remove members because of interpersonal conflict, or to verify relationships beyond authenticating accounts.

You can leave a family workspace at any time. Before you leave, you may delete tasks you are permitted to manage. Only the family owner can delete child profiles; members have read-only access to those profiles. Child profiles, tasks, and other information already in the workspace remain visible to the members who stay, unless they are deleted. The family owner controls residual child profiles and related tasks and may delete or keep them after a member leaves.

8. Intellectual Property Rights

The Service, including its original content, features, and functionality, is owned by Parentalist and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

9. User Content and Data

You retain ownership of any content you provide to the Service, including children's profiles, notes, and other information you submit.

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, store, and process your content to provide the Service (and, for non-Gmail content you submit, to improve the Service), without using Gmail data to train AI models
• Analyze email content using Google's Gemini API as described in our Privacy Policy
• Share your content with family workspace members as you configure

You represent and warrant that you have all necessary rights to grant this license and that your content does not violate any third-party rights or applicable laws.

10. Third-Party Services

The Service integrates with third-party services, including:

• Google OAuth: For user authentication
• Gmail API: For accessing and processing your emails with read-only access
• Google Gemini API: For analyzing email content and generating parenting tasks (see our Privacy Policy for how that data is handled)
• Cloud Infrastructure Provider: For data storage and hosting

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices, policies, or content of third-party services.

By connecting your Gmail account, you authorize us to access your email data with read-only permissions as necessary to provide the Service. Parenting partners can see shared tasks, but cannot browse another parent's inbox or view their emails. You can revoke Gmail access at any time through your Google account settings or by disconnecting in Family Settings.

Automatic Gmail access: If you enable automatic sync, we may periodically access your Gmail on our servers to look for new parenting tasks, including when you are not actively using the app. Signing out does not by itself end that access. Automatic sync continues while Gmail remains connected and you have it enabled; you can disable it or disconnect Gmail at any time to stop server-side access. We may pause automatic sync after a prolonged period without app use.

Gmail data and AI use: Gmail data accessed via the Gmail API is used only to provide the Service—specifically, to analyze emails and generate parenting tasks. Data Parentalist sends to Google's paid Gemini API for that purpose is not used by Parentalist to train generalized or foundational AI models. Under Google's paid Gemini API terms, prompts and responses are not used to train or improve Gemini's models or Google products. Child profile details used for task matching are likewise not used to train AI models. See our Privacy Policy for full details.

11. Account Termination

You may delete your account and terminate your use of the Service at any time. Upon account deletion:

• Your account and associated personal data will be deleted from our production systems within 30 days, as described in our Privacy Policy. Residual copies in backups and logs are purged on normal backup rotation, typically within 90 days, except where retention is required by law, legal process, or a legitimate security or fraud investigation
• You will lose access to your account, children's profiles, and tasks
• Child profiles, tasks, and other family workspace data already shared may remain visible to remaining members. The family owner controls whether residual child profiles and tasks are kept or deleted, as described in Section 7

We reserve the right to suspend or terminate your account immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Any other reason we deem necessary to protect the Service or other users

12. Limitation of Liability and Disclaimers

Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PARENTALIST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the Service
• Damages resulting from AI-generated content or task generation errors
• Damages resulting from unauthorized access to or use of your account
• Damages resulting from any conduct or content of third parties on the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100), TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Parentalist, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any intellectual property, privacy, or other right
• Any content you submit, post, or transmit through the Service

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Non-material changes may take effect upon posting.

By continuing to access or use the Service after the effective date of any revisions, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service and you may delete your account.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflict-of-law rules. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction and venue of the state or federal courts located in New York County, New York.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
